Employer Fee Terms

These Fee Terms govern hiring a candidate introduced by Big 4 Talent, Inc. (“Big 4 Talent,” “we,” or “us”) for a position within your company. By submitting a role through our platform, and in any event by hiring a candidate we introduce, you agree to these terms. If you are submitting on behalf of a company, you affirm that you are authorized to bind that company.

1. Placement fee

The fee for hiring a candidate from our platform is a percentage of the hired employee’s annual starting salary, on a tiered schedule based on the number of candidates you hire through our platform in a calendar year:

The volume tiers are counted as the cumulative total of both Standard and Executive positions hired in a given calendar year. For example, if you hire five (5) employees at the Standard tier through our platform in a calendar year, your next (6th) hire is billed at either 10% (if the annual base salary offered is under $200,000) or 15% (if it is $200,000 or above). The tier count restarts on January 1 of each year. The date the candidate accepts the offer is the date used to determine the applicable tier.

When calculating the fee, we reserve the right to include any guaranteed bonuses, commissions, or increases stated in the hired candidate’s offer letter.

2. Introduction and coverage window

The fee applies to any candidate we introduce for any position within your company, subsidiary, or any other company you refer the candidate to, within twelve (12) months from the date of introduction. The date of introduction is the date Big 4 Talent presents the candidate to you (for example, when our team shares the candidate with you for a role). If a candidate had already applied to the same-titled position through your own internal job posting, outside our platform, within 90 days before our introduction, that candidate will not be considered introduced by Big 4 Talent—provided you notify our team of that prior application, with reasonable supporting detail, within fourteen (14) days of the candidate being presented to you.

3. When fees are earned and payable

Fees are earned when the candidate accepts the job offer and are contingent on your hiring a candidate we introduce. Invoices are sent to your billing contact on the employee’s start date and are payable within thirty (30) days of the start date. Accepted payment methods are bank transfer (ACH or wire) or check.

4. Non-circumvention

You agree not to circumvent Big 4 Talent. This includes attempting to hire any candidate we introduce outside of our platform, or using information obtained through us to contact, negotiate with, or hire any candidate we introduce outside of our platform before an offer is accepted. Circumventing us and hiring a candidate we introduced—within twelve (12) months of introduction, without written notice and outside our platform—will result in a fee of 30% of the candidate’s first-year annual salary, payable upon receipt.

5. Term and termination

Either party may terminate at any time, with or without cause, on thirty (30) days’ written notice. On termination, you remain responsible for fees due for any candidate introduced during the term, including candidates hired after termination but within twelve (12) months of the introduction date.

6. Confidentiality, data, and equal opportunity

All referrals are made in confidence. Each party will safeguard information received from the other with the same degree of care it uses for its own confidential information, and will comply with all applicable data-protection and privacy laws; information is handled in accordance with our Privacy Policy. You acknowledge and agree to adhere to Equal Employment Opportunity (EEO) principles and to comply with all applicable EEO laws in your hiring and employment practices conducted through Big 4 Talent. To safeguard the time of candidates in our network, we reserve the right to deactivate access for cause, including canceling a high volume of scheduled interviews, intentional circumvention, or illegal activity.

7. Intellectual property, warranties, and liability

We grant you a non-exclusive, royalty-free license to use our intellectual property solely to receive the services under these terms; all intellectual property rights remain solely with Big 4 Talent. Candidate information is provided “as is”; you are responsible for your own interviewing, reference and background checks, eligibility verification, and hiring decisions. You acknowledge that candidates may be subject to non-compete or non-solicitation agreements with current or former employers, and Big 4 Talent is not responsible for legal consequences of employing a candidate in violation of such agreements. Big 4 Talent is not liable for any indirect, incidental, consequential, special, or punitive damages, or lost profits, revenue, data, or goodwill; our total liability under these terms will not exceed the total fees you have paid us for the services at issue. You agree to indemnify and hold harmless Big 4 Talent, its officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these terms.

8. Governing law

These terms are governed by the laws of the State of Maryland. Any dispute arising under or related to these terms is subject to the exclusive jurisdiction of the state and federal courts located in Maryland.
